Our model was created to help investors find investment opportunities that are not diluted and puts the investors at risk. For instance, most funds and syndications will leverage the investor funds to create a high AUM (assets under management). The risk with this model is that the investor is not in first lien position (has the risk to go to zero) and the lending institution funds are protected.

Our team primarily focuses on investment assets in major cities in Texas. Our goal is to expand in the future, but our investment model dictate that we are physically able to visit our sites and have the appropriate boots on the ground before the acquisition process.

Similar to the protection that we provide our investment criteria, we also make sure that we are protected with our online transactions. Our fund administrator has completed the rigorous System and Organization Controls (SOC) 2 Type 1 audit which is the latest protocols for accessing a software vendor’s data security.

Our group is transparent in our processes. We have a data room which shows historical performance and transaction level detail. Once an NDA has been signed and the investor has been verified, our team will help with the information. Whether you use Republic Investment group or any other investments, it will be the responsibility of the investor to do all the research as needed to validate all the information provided. Also, use all public records to validate the SEC registrations, broker dealer status, judicial judgements, state level validations and all business history validations.

Investment Process

We have two types of investments. Accredited Investor and Deal by Deal Investments. The Accredited investors can choose to invest into the Republic fund (Reg D 506 C) that focuses on Single Family assets or the Deal-by-Deal Investments that focuses on all commercial and residential opportunities. The core of both investment types is Real Estate Assets. The investments are setup to match certain requirements by SEC and the local governance.

Based on the two models, the fund model in which we only take accredited investors with a minimum of $250k and a 5 year commitment. Second is our deal-by-deal scenario, where any investors can start with a minimum of $100k with a minimum of 1 year commitment.

Based on the two models, The distributions are paid Quarterly for passive income projects. Other funds are distributed at residual value based on the project terms.

The investors 24/7 real time information and progress is tracked on the portal and can be accessed via a desktop or mobile. The portal houses encrypted access to open investments and tax documents. We also have a dedicated in-house relations team that will be assigned to each investor. Additionally, investors are expected to receive quarterly reports on the Fund’s operational and financial position.

We provide all investors with a Schedule K-1 for their respective investment in any Republic Investment -sponsored investment. Schedule K-1 is an Internal Revenue Service. The following documentation is required by Republic Investment Group for compliance purposes:

Investing as an individual with one subscriber

  • Valid, unexpired government issued ID
  • IRS Form W-9
  • Valid investor accreditation letter
  • Completed and executed Subscription Agreement

Investing as an individual with more than one subscriber

  • Valid, unexpired government issued ID
  • IRS Form W-9
  • Valid investor accreditation letter
  • Completed and executed subscription agreement by both investors
  • Given more than one subscriber, the investors MUST SELECT one of the following within the Subscription Agreement:
  • Tenants in common
  • Joint tenants with rights of survivorship
  • Tenants by the entireties

Investing via Entity (LP, LLC, C-Corp, or SD IRA)

  • Valid, unexpired government issued ID
  • IRS Form W-9
  • Valid investor accreditation letter
  • Entity's Articles of Incorporation and Operating Agreement (not necessary if investing via SD IRA)
  • Completed and executed Subscription Agreement

Generally, as a non-U.S. investor you must be a qualified purchaser to invest with Republic Investment Group. Generally, an investor is a qualified purchaser if the investor (1) holds investments greater than $5,000,000 or (2) is acting on behalf of other qualified purchasers who, in aggregate, own and invest greater than $25,000,000 in investments.

Accreditation Verification

For a Domestic investor to be considered an accredited investor, individuals must have a net-worth of at least $1,000,000 excluding the value of their primary residence or have a household income of at least $200,000 each year for the last two years (or $300,000 combined income with your spouse or spousal equivalent) and have the expectation to make the same amount this year. The term “accredited investor” is further defined in Rule 501 of Regulation D of the U.S. Securities and Exchange Commission.

In order to provide Accredited Investor status, you can provide financial statements from a bank/brokerage account showing net assets over $1 million dollars; 2 years of Federal tax Returns or a valid investor accreditation letter from a CPA or an attorney. An Accredited Investor Verification Letter is a legal document provided by a qualified accountant, investment advisor, or lawyer who can certify your accreditation. The verification letter is valid for up to 3 months from the date it is executed.

Alternative Investment Programs

The U.S. Congress created the EB-5 Program in 1990 to stimulate the U.S. economy through job creation and capital investment by foreign investors. It works by linking U.S. businesses looking to raise capital with foreign investors seeking a U.S. visa, creating a system that benefits all parties. Through a qualifying EB-5 investment, the investor, his/her spouse, and any unmarried children under the age of 21 will be eligible for permanent residence in the U.S. The traditional model used in the industry consists of an investment in a company, which makes a loan to the project for a term of 5 years with annualized interest payments of 2% for the investor. Additionally, Republic Investment Group offers a second investment option qualified to obtain residency as a project partner that is expected to produce projected greater, more equity-like returns

An Opportunity Zone is a designation and investment program created by the Tax Cuts and Jobs Act of 2017 allowing for certain investments in lower income areas to have tax advantages. The purpose of this program is to put capital to work that would otherwise be locked up due to the asset holder's unwillingness to trigger a capital gains tax.

To qualify, the Opportunity Fund must invest more than 90% of its assets in a Qualified Opportunity Zone Property located in an Opportunity Zone. The property must be significantly improved, which means it must be an original use, or the basis of the property must be double the basis of the non-land assets. Capital gain taxes are deferred for investments reinvested into investments in these zones and, if the investment is held for ten years, all capital gains on the new investment are waived.
